Terms of Service
The rules that govern your use of DevelopLex.
Last updated October 15, 2026
These Terms of Service are an agreement between you and DevelopLex LLC covering your use of the DevelopLex platform. Please read them carefully, along with our Privacy Policy.
1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the DevelopLex website, platform, listings, and related services (together, the "Platform"), operated by DevelopLex LLC, a Kentucky limited liability company ("DevelopLex," "we," "us," or "our").
By creating an account, submitting a listing, requesting an introduction, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
2. Who May Use the Platform
You must be at least 18 years old and able to form a binding contract to use the Platform. The Platform is intended for professionals and organizations working in or with the architecture, engineering, construction, real estate, and economic development industries.
If you use the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. Accounts and Registration
Some features require signing in with an email address and password or a supported third-party sign-in provider. You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been accessed without authorization.
4. The Platform Is a Marketplace, Not an Advisor
DevelopLex connects professionals, surfaces market information, and facilitates introductions. We are not a licensed real estate broker, investment advisor, broker-dealer, placement agent, law firm, accountant, or fiduciary, and nothing on the Platform is legal, tax, accounting, investment, or professional advice.
Deal and capital listings are informational only. They are not an offer to sell or a solicitation of an offer to buy any security or interest in any entity, and no offering is made except through definitive documents prepared by the parties involved. You are solely responsible for your own due diligence, for verifying all information, and for consulting qualified professional advisors before acting.
5. Listings, Submissions, and Accuracy
Directory profiles, project listings, deal listings, event listings, and introduction requests may be submitted by users of the Platform. We do not independently verify, audit, or endorse the accuracy, completeness, or legality of user submissions.
You are solely responsible for the content you submit, including that it is accurate, that you have the right to share it, and that it does not violate any confidentiality obligation or third-party right. We may review, edit, reformat, decline to publish, or remove any submission at our discretion, and publication is never guaranteed. Submissions may be reviewed by our team before they appear publicly.
6. Confidentiality and Introductions
Some listings include confidential or sensitive business information. By accessing confidential information through the Platform, you agree to use it only to evaluate a potential professional or business relationship and not to disclose it to others or use it for any other purpose.
Introductions are a facilitation service only. We are not a party to any agreement, transaction, or relationship formed between users, we do not guarantee that an introduction will be made, and we are not responsible for the outcome of any interaction between users.
7. News, Editorial, and Third-Party Content
The Platform includes news reporting, commentary, podcast episodes, maps, and other editorial content. Editorial content reflects the views of its authors and is provided for general information only.
Some elements of the Platform are provided by third parties, including mapping and location data supplied in association with Carto Commercial, embedded podcast players, social media embeds, and third-party websites we link to. We do not control and are not responsible for third-party content, and your use of a third-party service is governed by that provider's own terms and privacy policy.
8. Your Content and License to Us
You retain ownership of the content you submit. By submitting content, you grant DevelopLex a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and promote that content in connection with operating and marketing the Platform, including in newsletters, social media, and search results.
You represent and warrant that you own or have all necessary rights to the content you submit and that our use of it as described here will not infringe or violate the rights of any third party.
If you believe content on the Platform infringes your copyright, contact us through the contact form with the details of the work, the location of the material, and your contact information, and we will review and respond.
9. Acceptable Use
You agree not to:
- Submit false, misleading, deceptive, or impersonating information.
- Scrape, harvest, crawl, or bulk-extract data, contact information, or listings from the Platform without our written permission.
- Use the Platform to send unsolicited commercial messages, chain mail, or spam to other users.
- Circumvent access controls, rate limits, or approval workflows, or access non-public areas of the Platform.
- Upload malware, attempt to disrupt the Platform, or probe, scan, or test its security without authorization.
- Use the Platform for any unlawful purpose, or in violation of applicable securities, fair housing, anti-discrimination, or real estate licensing laws.
10. Our Intellectual Property
The DevelopLex name, logo, site design, original editorial content, and the compilation of Platform data are owned by DevelopLex LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. All other rights are reserved.
11. Fees
The Platform is currently free to use. We may introduce paid features, subscriptions, or listing fees in the future, and will present any applicable terms and pricing before you incur a charge.
12. Suspension and Termination
We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us or other users, or for any other lawful reason. You may stop using the Platform at any time and may request deletion of your account and submissions through the contact form.
13. Disclaimers
The Platform and all content on it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any information on it is accurate, complete, or current.
14. Limitation of Liability
To the maximum extent permitted by law, DevelopLex LLC and its members, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, or business interruption, arising out of or relating to your use of the Platform, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless DevelopLex LLC and its members, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your content, your use of the Platform, or your violation of these Terms or the rights of any third party.
16. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Before filing any formal action, you agree to contact us and attempt to resolve the dispute informally for at least thirty days.
Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Fayette County, Kentucky, and you consent to venue and personal jurisdiction there.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be communicated through the Platform or by email where appropriate. Your continued use of the Platform after an update means you accept the revised Terms.
